These Terms & Conditions (the “Agreement”) set forth the terms and conditions that apply to your use of the web site located at http://www.yoshikifoundationamerica.org (the “Site”) and the services and materials offered thereon (the “Service”), including e-mails as further described below, which are made available to you by Yoshiki Foundation America (“Yoshiki Foundation America”).  BY USING THIS SITE, AND ITS SERVICE, YOU AGREE TO THE TERMS OF THIS AGREEMENT, AND THE PRIVACY POLICY FOR THIS SITE, JUST AS IF YOU HAD SIGNED IT.  If you do not agree to be bound by this Agreement, please discontinue your use of the Service.

The Service is owned and operated by Yoshiki Foundation America and contains material that is derived in whole or in part from material supplied and owned by Yoshiki Foundation America and other sources.  Such material is protected by copyright, trademark, and other applicable laws.  Unless otherwise expressly provided, you may not modify or prepare derivative works based on any material from the Service (“Material”), including but not limited to code and software, but you may copy and distribute white papers and other related publications on the Site provided that such distribution is made with full attribution to Yoshiki Foundation America.  You may download Material from the Service for your personal, non-commercial use only, provided you keep intact all copyright and other proprietary notices and use the Material in accordance with all restrictions applicable to your use of the Service in general.  In the event that you download Material from the Service, such Material is licensed to you by Yoshiki Foundation America and Yoshiki Foundation America does not transfer title to any such Material to you.

Yoshiki Foundation America does not necessarily endorse, support, sanction, encourage, verify or agree with the comments, opinions or other statements made public at the Site by visitors through the interactive services available at the Site.  Any information or material sent by visitors through such services, including advice and opinions, represents the views and is the responsibility of those visitors and does not necessarily represent the views of Yoshiki Foundation America.

本サービスはYoshiki Foundation Americaが所有・運営し、Yoshiki Foundation Americaおよびその他の提供元が提供・所有するコンテンツの一部または全てに由来するコンテンツを含みます。当該コンテンツは、著作権や商標権を含む知的財産権によって保護されています。明示的な許可がない限り、本サービスのコンテンツ（以下「本コンテンツ」）の改変や派生物の作成は禁止されています。ただし、ホワイトペーパー等の公開資料については、Yoshiki Foundation Americaのクレジットを明記した上で配布が許可されます。

Should Yoshiki Foundation America choose to provide registration-based services, when you register to use these Services, you will be required to provide certain information about yourself.  You agree to provide true, accurate and complete information about yourself, and to update this information when it changes.  If you provide any information that is untrue or inaccurate, not current, or incomplete, or if Yoshiki Foundation America suspects that your information is untrue or inaccurate, not current, or incomplete, Yoshiki Foundation America may, in its sole discretion, suspend or terminate your membership and refuse current or future access to the Service.  Any personal information supplied hereunder will be subject to the terms of our privacy policy.

(b) Passwords

Should Yoshiki Foundation America provide to you a password that allows you to access certain parts of the Service, you will be solely responsible for maintaining the confidentiality of the password and your account information, and are fully responsible for all activities that occur under your password or account.  You agree that you will immediately notify Yoshiki Foundation America of any unauthorized use of your password or account, or any other breach of security, and that you will log off of the Service at the end of each session to prevent fraud on your account by third parties.

Yoshiki Foundation America may choose to send you e-mails on a variety of topics – for example, informing you of information, letting you know of problems with the Site or with services offered by Yoshiki Foundation America, or presenting you with the opportunity to make donations or participate in fund-raising events or buy selected products and services.  You may elect during registration to receive these e-mails, and you may stop receiving such e-mails at any time by sending an e-mail to unsubscribe@yoshikifoundation.org

(d) Rules for Use of the Service

(1) Conduct Required for Use of the Service

It is a condition of your use of the Service that you do not: (i) restrict or inhibit any other user from using and enjoying the Service; (ii) post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation, any images or other material depicting nudity as herein defined; (iii) post or transmit comments containing harassing or offensive language, or engage in disruptive activities online; (iv) post or transmit any information, software or other material that is fraudulent or violates or infringes the rights of others, including material that violates privacy or publicity rights, or infringes copyright, trademark or other proprietary rights, without first obtaining permission from the owner or right holder; (v) post or transmit any information, software or other material that contains a virus or other harmful component; (vi) post or transmit content that encourages or provides instructional activities about illegal activities, in particular hacking, cracking or phreaking; (vii) post, transmit or in any way exploit any information, software or other material for commercial purposes or that contains advertising, “junk mail,” “spam,” or “chain letters”; (viii) solicit other users to join, become members of, or contribute money to any online service or other organization, advocate or attempt to get users to join in legal or illegal schemes or plan or participate in scams involving other users; (ix) impersonate any person or entity or falsely state or otherwise misrepresent your professional or other affiliation with any person or entity; (x) resell, redistribute, broadcast or transfer the information or use the information derived from the Service in a searchable, machine-readable database; (xi) use the Service to collect personally identifying information about users of the Service in violation of our Privacy Policy; (xii) disguise a file type to thwart Yoshiki Foundation America’s detection processes; (xiii) post or transmit any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law; or (xiv) attempt to gain unauthorized access to other computer systems or networks connected to the Service.  You agree that you will not use the Service, including the information provided therein and all related equipment, networks and network devices (specifically including Internet access) for any unlawful purpose.  Yoshiki Foundation America, at its sole and absolute discretion, shall determine whether any information transmitted or received violates this provision.  You may not use any Material in connection with any site or other use that contains or is associated with information or content prohibited by this section.

(2) Monitoring

Yoshiki Foundation America has no obligation to monitor the use of the Service by members.  You acknowledge and agree that Yoshiki Foundation America reserves the right to, and may from time to time, monitor any and all information transmitted or received through the Service for operational and other purposes.  During monitoring, information may be examined, recorded, copied, and used for authorized purposes in accordance with our Privacy Policy.  Use of the Service constitutes consent to such monitoring.  Furthermore, Yoshiki Foundation America reserves the right at all times to disclose any information posted on any portion of the Service as necessary to satisfy any law, regulation or governmental request, or to refuse to post, or to remove, any information or materials, in whole or in part, that in Yoshiki Foundation America’ sole and absolute discretion are objectionable or in violation of this Agreement.

(iii) 嫌がらせまたは攻撃的な言葉を含むコメントを投稿の送信、またはオンライン上の破壊的な活動への関与

(iv) 所有者または権利者からの許諾なしにプライバシー権やパブリシティ権を侵害するコンテンツ、著作権、商標権、その他の所有権を侵害するものを含む詐欺的な情報やソフトウェア、その他のコンテンツの送信または投稿

(v) ウイルスなど有害なプログラムを含む情報やソフトウェア、コンテンツの投稿や送信

(vi) 違法行為、特にハッキング、クラッキング、フリーキングを奨励または指導するコンテンツ

(vii) 商業目的で広告、迷惑メール、スパム、チェーンレターなどを含む情報、ソフトウェア、その他の素材の投稿や送信、または何らかの方法での悪用

(viii) 他のユーザーに対するオンラインサービスや組織への加入、会員登録、金銭拠出の勧誘、合法または違法な計画への参加や他のユーザーを巻き込んだ詐欺の計画への参加をの提唱・企て

(ix) いかなる個人または団体へのなりすましや、また個人・団体との職業上を含む結びつきがあることの虚偽の表示

(x) 情報の再販売、再配布、放送、転送、または本サービスから得られる情報の検索可能な機械可読データベースでの使用

(xi) プライバシーポリシーに違反した本サービスのユーザーに関する個人識別情報の収集

(xii) Yoshiki Foundation Americaの検知プロセスを妨害する目的でのファイルの種類の偽装

(xiii) 犯罪行為となる・民事責任が生じる・地域、州、国、国際法に違反する　行為を構成・助長する投稿または送信

(xiv) 本サービスに接続されている他のコンピューターシステムまたはネットワークへの不正アクセスの試み。ユーザーは、提供される情報および関連するすべての機器、ネットワークおよびネットワーク機器（特にインターネットアクセス）を含む本サービスを違法な目的で利用しないことに同意するものとします。送受信された情報の本条件への違反の判断はYoshiki Foundation Americaが独自かつ絶対的な裁量で行うものとします。 本条で禁止されている情報またはコンテンツを含む、またはそれに関連するサイト・その他の利用に関連してコンテンツ使用することはできません。

(2) モニタリングについて

YOSHIKI FOUNDATION AMERICA MAY PROVIDE LINKS AND POINTERS TO INTERNET SITES MAINTAINED BY THIRD PARTIES (“THIRD PARTY SITES”) AND MAY FROM TIME TO TIME PROVIDE THIRD PARTY MATERIALS ON THE SERVICE.  YOSHIKI FOUNDATION AMERICA DOES NOT OPERATE OR CONTROL IN ANY RESPECT ANY INFORMATION, PRODUCTS OR SERVICES ON THESE THIRD PARTY SITES.  THE SERVICE, THE MATERIALS AND PRODUCTS AVAILABLE IN OR ACCESSIBLE THROUGH THE SERVICE, AND THE THIRD PARTY SITES ARE PROVIDED “AS IS” AND, TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, YOSHIKI FOUNDATION AMERICA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WARRANTIES IMPLIED FROM A COURSE OF PERFORMANCE OR COURSE OF DEALING.  YOSHIKI FOUNDATION AMERICA DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN SUCH MATERIALS AND PRODUCTS, OR IN THE SERVICE, WILL BE UNINTERRUPTED OR ERROR-FREE, WILL BE AVAILABLE FOR USE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE, INCLUDING THE STORAGE SERVICES AND THEIR CONTENTS, OR THE SERVER THAT MAKES THEM AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.  YOSHIKI FOUNDATION AMERICA DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF THE USE, OF THE MATERIALS IN THE SERVICE OR IN THIRD PARTY SITES OR THE SERVICES PROVIDED BY THIRD PARTIES IN TERMS OF THEIR CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY, COMPLETENESS OR OTHERWISE.

You assume all risk of errors and/or omissions in the Service, including the transmission or translation of information.  You assume full responsibility for implementing sufficient procedures and checks to satisfy your requirements for the accuracy and suitability of the Service, including the information, and for maintaining any means that you may require for the reconstruction of lost data or subsequent manipulations or analyses of the information provided hereunder.  You acknowledge and agree that your use of the Service, and any information sent or received in connection therewith, may not be secure and may be intercepted by unauthorized parties.

EXCEPT TO THE EXTENT OTHERWISE EXPRESSLY PROVIDED BY LAW, YOU ASSUME RESPONSIBILITY FOR THE ENTIRE COST OF ALL NECESSARY MAINTENANCE, REPAIR OR CORRECTION TO YOUR COMPUTER SYSTEM OR OTHER PROPERTY.

5. Limitation of Liability

IN NO EVENT SHALL YOSHIKI FOUNDATION AMERICA BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICE OR WITH THE DELAY OR INABILITY TO USE THE SERVICE OR OTHERWISE ARISING OUT OF THE USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF YOSHIKI FOUNDATION AMERICA HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.  THIS WAIVER APPLIES, WITHOUT LIMITATION, TO ANY DAMAGES OR INJURY ARISING FROM ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, FILE CORRUPTION, COMMUNICATION-LINE FAILURE, NETWORK OR SYSTEM OUTAGE, OR THEFT, DESTRUCTION, UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF ANY RECORD.  YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT YOSHIKI FOUNDATION AMERICA SHALL NOT BE LIABLE FOR ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER OF THE SERVICE.  SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.  SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.　

Yoshiki Foundation Americaは、契約、不法行為、厳格責任その他に基づくか否かを問わず、いかなる場合においても本サービスの利用、利用の遅延または不能、利用に関連するその他の事由に起因または関連して生じる直接的、間接的、懲罰的、付随的、特別損害、結果的損害、またはその他の損害について、たとえYoshiki Foundation Americaが当該損害の可能性について事前に通知を受けていた場合であっても、一切の責任を負わないものとします。

この免責事項は、パフォーマンスの不具合、エラー、記載漏れ、中断、削除、欠陥、オペレーションまたは送信の遅延、コンピューターウイルス、ファイルの破損、通信回線の障害、ネットワークまたはシステムの停止、盗難、破壊、不正アクセス、改ざん、または記録の不正使用等に起因する損害や損傷に適用されますが、これらに限定されるものではありません。

また、ユーザーは、本サービスのユーザーによる中傷的、攻撃的、または違法な行為について、Yoshiki Foundation America がいかなる責任も負わないことを明確に認識し、これに同意するものとします。

なお、一部の州では黙示的な保証の期間に関する制限を認めていないため、制限が適用されない場合があります。また、一部の州では付随的損害や結果的損害の免責や制限を認めていないため、上記の免責または制限が適用されない場合があります。本保証は、ユーザーに特定の法的権利を付与するものであり、州によりユーザーはその他の権利を有する場合があります。

6. Indemnification

You agree to defend, indemnify and hold harmless Yoshiki Foundation America and its directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or accruing from (a) any material posted or otherwise provided by you that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by you in connection with your use of the Service; (c) any non-compliance by you with the terms and conditions of this Agreement; and (d) claims brought by persons or entities other than the parties to this Agreement arising from or related to your access and use of the Service, including the information obtained through the Service.

(a) ユーザーが本サービスを通じて投稿または提供したコンテンツが第三者の著作権、商標権、営業秘密、トレードドレス、特許やその他の知的財産権を侵害した場合、または第三者を誹謗中傷し、そのパブリシティ権やプライバシー権を侵害した場合

(b) ユーザーが本サービスの利用に関連して行った虚偽の表明または誤解を招く表現

(c) ユーザーが本規約に定める条項および条件に違反した場合

(d) 本規約当事者以外の個人または団体が、ユーザーによる本サービスの利用および本サービスを通じて取得した情報に起因または関連して提起する請求

ユーザーは、これらの請求や損害に対して、Yoshiki Foundation America およびその関係者が損害を被らないよう、適切に対応する責任を負うものとします。

7. Termination

解除

Yoshiki Foundation America may, in its sole discretion, terminate your password, account (or any part thereof) or use of the Service, or remove and discard any communication transmitted by you, or information stored, sent, or received via the Service without prior notice and for any reason, including, but not limited to: (i) concurrent access of the Service with identical user identification numbers, (ii) permitting another person or entity to use your user identification number to access the Service, (iii) any other access or use of the Service except as expressly provided in this Agreement, (iv) any violation of the terms and conditions of this Agreement or the rules and regulations relating to the use of, the software and/or data files contained in, or accessed through, the Service, (v) tampering with or alteration of any of the software and/or data files contained in, or accessed through, the Service, or (vi) failure to use the Service or portion thereof on a regular basis.  You may terminate your registration hereunder upon thirty (30) days written notice by you to Yoshiki Foundation America of your intent to terminate this Agreement.  Termination, suspension, or cancellation of this Agreement or your access rights shall not affect any right or relief to which Yoshiki Foundation America may be entitled, at law or in equity.  Upon termination of this Agreement, all rights granted to you will automatically terminate and immediately revert to Yoshiki Foundation America and its licensors.

Yoshiki Foundation America は、独自の裁量および事前の通知なしに、ユーザーのパスワードとアカウント（またはその一部）を終了させることができるものとします。また、ユーザーが本サービスを通じて送信した通信内容や本サービスを利用して保存・送受信した情報を削除または破棄する権利を有します。これは、以下を含むがこれらに限定されない理由により行われる場合があります。

(i) 同一のユーザー識別番号を用いた同時アクセスが確認された場合

(ii) ユーザーが自身のユーザー識別番号を他人または団体に提供し、本サービスへのアクセスを許可した場合

(iii) 本規約に明示的に規定されている場合以外で本サービスへアクセスした、あるいはサービスを利用をした場合

(iv) 本規約、または本サービスの利用に関連するソフトウェアおよびデータファイルの使用規則に違反した場合

(v) 本サービス内のソフトウェアまたはデータファイルを不正に改ざん・変更した場合

(vi) 本サービスまたはその一部を一定期間にわたり定期的に利用しなかった場合

本規約に基づく契約を解除したい場合、ユーザーは登録解除希望日の30日前にYoshiki Foundation Americaに書面で事前通知することで登録解除ができます。

なお、本規約の終了、利用停止、またはアクセス権の取消は、法律上または衡平法上で Yoshiki Foundation America が有する権利または救済手段に影響にも影響しないものとします。本規約が終了した時点で、本規約に基づきユーザーに付与された全ての権利は自動的に終了し、直ちに Yoshiki Foundation America およびそのライセンサーに帰属するものとします。

8. Modification

規約の改訂

Yoshiki Foundation America reserves the right, in its sole discretion, to amend this Agreement, and to modify, add or discontinue any aspect, content, or feature of the Service.  Such amendments, modifications, additions or deletions shall become effective upon notice thereof, which may be provided to you by posting on the Service, via e-mail or any other reasonable means.  Continued use of the Service by you shall constitute your binding acceptance of any such amendments, modifications, additions or deletions.

Yoshiki Foundation Americaは、独自の裁量で本規約を改訂し、本サービスの内容、機能、特徴などを変更、追加、中止する権利を留保します。

これらの改訂、変更、追加、または削除は、サイト上への掲載、電子メールの送信、またはその他の合理的な方法により告知された時点で有効となります。ユーザーが引き続き本サービスを利用した場合、当該改訂、変更、追加、または削除内容を受諾したものとみなされます。

9. Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State of California without giving effect to any principles of conflicts of law.  This Agreement is personal between you and us, and no one shall be a third party beneficiary to this Agreement.  Although you acknowledge that we will have the ability to enforce our rights in any court of competent jurisdiction, you hereby consent to the exclusive jurisdiction and venue of courts in Los Angeles, California, U.S.A., regarding any and all disputes relating to this Agreement or your use of the Service.  You acknowledge and agree that the warranty disclaimers and liability and remedy limitations in this Agreement are material terms of this Agreement and that they have been taken into account in the decision by Yoshiki Foundation America to provide the Service hereunder.  You may not assign any of your rights, obligations or privileges hereunder without the prior, written consent of Yoshiki Foundation America.  Any assignment of the foregoing other than as provided for in this section shall be null and void, ab initio.  If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement, shall be enforced to the fullest extent allowed by law as to effect the intention of the parties, and shall not affect the validity and enforceability of any remaining provisions.  This Agreement and any posted operating rules constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter.  No waiver of any provision or any right granted hereunder will be effective unless set forth in a written instrument signed by the waiving party.  No waiver by either party of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default.  You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the Service or access to the Service.  The titles and subtitles used in this Agreement are used for convenience only and are not to be considered in construing or interpreting this Agreement.

本規約は、抵触法の原則を適用することなく、カリフォルニア州法に準拠し、同法に従って解釈されるものとします。本規約は、ユーザーと Yoshiki Foundation America 間の個人的なものであり、いかなる者も本規約の第三受益者とはなりません。Yoshiki Foundation America は、適切な管轄権を有する裁判所において本規約上の権利を行使できるものとしますが、ユーザーは、本規約または本サービスの利用に関連するあらゆる紛争について、アメリカ合衆国カリフォルニア州ロサンゼルスの裁判所を専属管轄裁判所とすることに同意するものとします。

ユーザーは、本規約における保証の免責および責任・救済制限が本規約の重要な条項であり、Yoshiki Foundation America が本サービスを提供するにあたり考慮されたものであることを認め、同意するものとします。

ユーザーは、Yoshiki Foundation America の書面による事前の同意なしに本規約に基づく権利、義務、または特権を譲渡することはできません。前述の条項に違反してなされた譲渡は、初めから無効となります。

本規約のいずれかの条項が違法、無効、または何らかの理由で執行不能と判断された場合、当該条項は本規約から分離可能であるとみなされ、当事者の意図を実現するために法の許す最大限の範囲で執行されるものとし、残りの条項の有効性および執行可能性には影響を与えないものとします。

本規約および本サービス上に掲示された運用規則は、本規約に関する当事者間の完全な合意を構成するものであり、口頭または書面を問わず、本規約に関する事前または同時期のすべての合意および提案に優先します。本規約のいかなる条項についても、その権利を放棄する場合は、放棄する当事者が署名した書面に記載されない限り効力を有しません。また、本規約に基づく違反または不履行に対する当事者の権利放棄は、その後の違反または不履行の放棄とみなされないものとします。ユーザーは、いかなる商業目的でも本サービスおよび本サービスのアクセスの一部または全てを複製、複写、コピー、販売、再販、その他の方法で利用しないことに同意するものとします。なお、本規約に使用されている見出しおよび小見出しは便宜上のものであり、本規約の解釈には影響を与えないものとします。
